1. Agreement to Terms
By accessing or using FLEX FLOW AI LLC's services, you agree to be bound by these
Terms of Service and all applicable laws and regulations. If you do not agree with any
of these terms, you are prohibited from using our services.
2. Description of Services
FLEX FLOW AI LLC provides custom AI automation solutions for businesses, including:
- Design and implementation of custom AI automation workflows
- Integration of automation solutions with existing business systems
- Training and documentation for implemented solutions
- Ongoing support and maintenance services (when subscribed)
- Consultation and strategic guidance on automation opportunities
3. Service Plans and Pricing
We offer multiple service plans with different pricing models:

Fixed Price Projects: One-time payment for
custom automation implementation with a specified free support period

Monthly Support Plans: Optional ongoing support
subscriptions that include updates, maintenance, and priority assistance

All pricing is outlined in our service proposals and must be agreed upon before
project commencement. Prices are subject to change with 30 days' notice for ongoing
subscriptions.
4. Payment Terms
Payment terms vary by service plan:

in project agreement (typically 50% upfront, 50% upon completion)

5. Client Responsibilities
As a client, you agree to:

- Grant necessary access to systems and data required for implementation
- Designate a primary contact person for project communication
- Review and approve deliverables in a timely manner
- Comply with all applicable laws and regulations in your use of our services
- Maintain the security of any credentials or access provided to you
6. Intellectual Property Rights
Fixed Price Projects: Upon full payment, you
receive full ownership rights to the custom automation workflows we create for your
business, including all code, configurations, and documentation specific to your
implementation.
Monthly Subscriptions: Ownership rights are
granted upon subscription termination and final payment settlement.
FLEX FLOW AI LLC retains ownership of proprietary methodologies, frameworks, and
reusable components. We reserve the right to use generalized knowledge and experience
gained from projects for future client work.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared
during the engagement. This includes business processes, data, trade secrets, and any
information marked as confidential. This obligation continues for 3 years after
service termination.
8. Data Security and Privacy
We implement industry-standard security measures to protect your data:
- All data transmissions are encrypted using SSL/TLS protocols
- Access to client data is restricted to authorized personnel only
- We comply with applicable data protection regulations (GDPR, CCPA, etc.)
- Regular security audits and vulnerability assessments are conducted
- Data breach notification procedures are in place

9. Service Level Agreements
For clients with active support subscriptions:

business hours for standard issues, 4 hours for critical issues

48 hours advance notice
10. Warranty and Disclaimers
Limited Warranty: We warrant that services will be
performed in a professional and workmanlike manner. Custom automation solutions will
function substantially as described in project specifications for the warranty period
(30-90 days based on package).
Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, SERVICES
ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT
GUARANTEE SPECIFIC BUSINESS RESULTS OR ROI FROM AUTOMATION IMPLEMENTATIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability shall not exceed the amount paid by you in the 12 months
preceding the claim

We are not liable for indirect, incidental, special, consequential, or punitive
damages
- We are not liable for business interruption, lost profits, or lost data
- Claims must be filed within 12 months of the event giving rise to the claim
12. Termination
By Client: You may terminate monthly subscriptions
with 30 days' written notice. Fixed-price projects can be terminated as specified in
the project agreement.
By FLEX FLOW AI LLC: We may terminate services
immediately if you breach these terms, fail to pay amounts due, or engage in conduct
harmful to our business or other clients.
Effect of Termination: Upon termination, you must
pay all outstanding amounts. We will provide reasonable assistance in transitioning
services (fees may apply).
13. Indemnification
You agree to indemnify and hold FLEX FLOW AI LLC harmless from any claims, damages, or
expenses arising from: (a) your use of our services, (b) your violation of these
terms, (c) your violation of any rights of another party, or (d) your violation of
applicable laws.
14. Force Majeure
Neither party shall be liable for failure to perform due to causes beyond reasonable
control, including acts of God, war, strikes, natural disasters, government actions,
or internet/telecommunications failures.
15. Dispute Resolution
In the event of a dispute:

Negotiation: Parties will first attempt to
resolve disputes through good-faith negotiation

Mediation: If negotiation fails, disputes will
be submitted to mediation

Arbitration: Unresolved disputes will be settled
by binding arbitration

Governing Law: These terms are governed by the
laws of Armenia
16. Modifications to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon
posting to our website. Continued use of services after changes constitutes
acceptance. For material changes, we will provide 30 days' notice to active clients.
17. Miscellaneous
Entire Agreement: These terms constitute the
entire agreement between parties regarding services.
Severability: If any provision is found
unenforceable, remaining provisions remain in effect.
No Waiver: Failure to enforce any right does not
constitute a waiver of that right.
Assignment: You may not assign these terms without
our written consent.
